Transaction Capital LLC ("Transaction Capital," "TXN Capital," "we," "our," or "us") is committed to providing independent, objective, and professionally supportable valuation and advisory services. Our work is performed in accordance with recognized valuation principles, professional ethics, and applicable standards relevant to the specific purpose and scope of each engagement.

Transaction Capital LLC provides valuation and advisory services for a variety of purposes, including IRC Section 409A compliance, gift and estate tax planning, financial reporting, fair market value analyses, intellectual property valuation, startup valuation, litigation support, transaction advisory, fairness opinions, and other business valuation matters. The scope, methodologies, assumptions, and standards applied to an engagement depend upon the facts and circumstances of the assignment and the intended use of the valuation.

Our professionals strive to maintain the highest standards of independence, objectivity, integrity, and professional judgment. Valuation conclusions are developed based upon accepted valuation methodologies, available market evidence, management information, and professional analysis as of the applicable valuation date. Compensation for our services is never contingent upon achieving a predetermined value conclusion, financing outcome, tax result, litigation outcome, or transaction event.

Where appropriate, Transaction Capital LLC may perform engagements in accordance with one or more recognized professional standards, including:

  • Uniform Standards of Professional Appraisal Practice (USPAP)
  • International Valuation Standards (IVS)
  • AICPA Statement on Standards for Valuation Services No. 1 (SSVS No. 1)
  • NACVA Professional Standards
  • ASA Business Valuation Standards

The professional standards applicable to a particular engagement will be identified within the engagement letter, valuation report, or other engagement documentation where required.

Transaction Capital LLC is led by credentialed valuation professionals whose qualifications may include Accredited in Business Valuation (ABV®), Accredited Senior Appraiser (ASA®), Certified Valuation Analyst (CVA®), Member of the Royal Institution of Chartered Surveyors (MRICS®), and other relevant professional designations. These credentials reflect specialized education, experience, ethical obligations, and continuing professional development requirements.

Our analyses and conclusions are generally based upon information provided by management, shareholders, legal counsel, accountants, and other sources believed to be reliable. Unless expressly agreed otherwise, Transaction Capital LLC does not audit, verify, or independently authenticate information supplied by third parties and is entitled to rely upon such information in the performance of its services. Clients remain responsible for the completeness, accuracy, and timeliness of information provided for an engagement.

Transaction Capital LLC exercises professional judgment in selecting appropriate valuation methodologies and assumptions. Depending upon the nature of the engagement, this may include income-based approaches, market-based approaches, asset-based approaches, option pricing methodologies, probability-weighted analyses, or other generally accepted valuation techniques. Not all valuation methods are appropriate for every assignment, and the selection and weighting of methodologies remain matters of professional judgment.

Valuation reports and advisory deliverables are prepared solely for the specific purpose, intended use, and intended users identified within the engagement documentation. Unless expressly authorized in writing, no third party may rely upon any report, opinion, analysis, or conclusion prepared by Transaction Capital LLC. Any unauthorized reliance is solely at the risk of the relying party.

To promote consistency, quality, and professional compliance, Transaction Capital LLC maintains internal review and quality control procedures appropriate to the nature and complexity of its engagements. Workpapers, supporting documentation, and engagement records are retained in accordance with applicable professional standards, legal requirements, and internal record retention policies.

Nothing contained in this Professional Standards & Circular 230 Disclosure shall modify, expand, or replace the terms of any executed engagement letter, service agreement, or professional engagement contract. In the event of any inconsistency, the terms of the executed engagement agreement shall govern.
